EL TIEMPO DE DURACIÓN DE LOS CONTRATOS DE DISTRIBUCIÓN

Esta semana he estado redactando un contrato de colaboración para un cliente, en concreto un contrato de distribución.

Sé que mucha gente, coge modelos de cualquier sitio web, los completa y los firma, pero la realidad es que esos modelos no se acaban amoldando a las necesidades de la empresa que los precisa.

La primera pregunta a realizar cuándo se debe redactar un acuerdo es ¿Vd. que quiere?

Una vez, sepamos qué busca el cliente, será más fácil construir el instrumento que intente asegurar el cumplimiento de dicho fin.

Mi cliente buscaba expandirse en un nuevo territorio sin asumir riesgo, eso excluye el contrato de agencia. También quería asegurarse una relación larga, no sabía cuánto tiempo, pero quería tener siempre la posibilidad de poder finalizar la relación, si no estaba conforme con el cliente. Como véis fácil.

En este, artículo hablaremos del tiempo de duración de los contratos de colaboración, en concreto de los contratos de distribución, si bien haré una pequeña mención a la AGENCIA, ya que el contrato de distribución es atípico y el de Agencia está perfectamente regulado en la Ley 12/92 de 27 de mayo, a la que en muchas ocasiones se remiten las partes, incluso los tribunales para buscar una solución.

Los contratosa perpetuidad no existen en nuestro ordenamiento juruídico, existen los contratos indefinidos, lo que no significan que no tengan fin sino que el mismo no está previsto.

La realidad es que cuando se inicia una relación contractual, y las partes no se conocen, lo mejor es ser prudentes, por eso se aconejan plazos de duración determinados, un año, prorrogable otro año, hasta un máximo de tres. Advirtiendo que llegado la fecha de expiración del contrato el mismo se prorroga por tácita recondución, es decir se convierte en indefinido.

También es conveniente fijar el plazo de preaviso, el contrato de Agencia establece un mes por año de duración del contrato hasta un máximo de seis meses. En la mayoría de casos se utiliza también esta fórmula para los contratos de Distribución, pero en estos contratos, al contrario, que en le de Agencia la ley permite modulación por mor del artículo 1255.

También es conveniente fijar el periodo en el que podrá ser comunicado el preaviso, y la forma, así como las consecuencias del mismo, económicas y organizativas, esto es, una vez dado el preaviso el distribuidor debe seguir con sus funciones o se le añaden alguna función/precaución adicional.

La verdad es que redactar un buen contrato requiere de tiempo, conocimiento del cliente y de su mercado, así como del derecho y de los Tribunales, por eso os aconsejo que perdáis un poco de vuestro tiempo consultando a un profesional, en Global Way estaremos encantados de ayudaros.
